Purpose of the Bill : This bill serves to provide an update to the Delaware Code with relation to the creation, operation, regulation and dissolution of domestic limited partnerships. This bill exempts domestic limited partnerships from the statute of frauds as well as sets forth a number of common sense changes to the Code regarding the filing of international limited partnerships, mergers, powers of attorney and the electronic submission of documents.


Committee Findings: The committee found this bill to a common sense update of the Delaware Code with relation to the creation, operation, regulation and dissolution of domestic limited partnerships. Overall the committee found that the changes would allow actions of domestic limited partnerships to come in line with recent court decisions and provide much more clarity with regard to actions of domestic limited partnerships.
